Responsible Sourcing Contract clause – To be inserted into relevant agreements with parties A party providing products and services to Novo Nordisk shall conform to the Responsible Sourcing Standards as set out in the above appendix Responsible Sourcing Standards . The Party shall foster the implementation of these standards across its supply chain consistent with the Party’s company programmes. Upon request, the Party shall provide information on its social, environmental and ethical performance so that Novo Nordisk can assess whether or not the Party complies with the Responsible Sourcing Standards. The Party shall be committed to audits conducted by Novo Nordisk or external experts appointed by Novo Nordisk. An audit will be scheduled with minimum 30 days warning. The Party shall co-operate in scheduling and carrying out these audits. Audits will be carried out on-site and representatives from Novo Nordisk may examine relevant documents, resources, facilities and records during such audits. If non-conformities are identified during these audits, the party and Novo Nordisk will discuss the non-conformities and work together cooperatively, diligently and in good faith to identify and implement corrective action(s). Corrective action(s) shall be agreed upon within 30 days and the Party shall initiate and implement such action(s) within the timeframe as therein agreed upon. The Party shall inform Novo Nordisk if the production site, where the product sold to Novo Nordisk is produced, changes. If the Party faces difficulties in conforming to these standards, the Party has the obligation to inform Novo Nordisk about these problems and corrective action(s) shall be agreed upon as per above mentioned. The Party shall at all time use diligent efforts to resolve and correct any identified non- conformity. If the Party is found to be in material breach of its obligations under this article Novo Nordisk reserves its right to terminate this Agreement. You are hereby kindly asked to sign the agreement in order to confirm your consent of the content in Responsible Sourcing Standards.
