COMPENSATION

Please describe any arrangement for discounting or “sharing” of commissions related to any potential transaction.

Cushman & Wakefield envisions a partnership with HLT in securing the best possible outcome as HLT faces its upcoming lease expiration at 1325 Avenue of the Americas. To that end, we propose to align our compensation with not just the results we secure but with your overall satisfaction with our work, work product, effort, accessibility, tenacity and of course results. Therefore, we propose that we receive 50.0% (half) commission as a success fee calculated in accordance with the rate schedule on page 36 (which is in keeping with New York City commercial brokerage rate) with the balance being either directly paid to HLT or credited back to HLT in any legal manner that you see fit. This could be in lower rent, a leasehold improvement allowance adjustment or free rent. This fee would be paid by the Landlord. In addition to the 50.0% brokerage fee, we propose to be compensated with a subjective bonus not to exceed 15.0% of the total commission. The subjective factors will be solely determined by HLT and are not tied to any particular metrics. We envision that if we do a great job we will not earn the bonus commission. We would have to exceed ‘great’ on multiple levels in order to earn the bonus or any portion of it!
