FEE PROPOSAL

E. 1. Fee Proposal C&W provides the bulk of the services presented in this proposal at no out-of-pocket cost to Brownstein in consideration for being granted a national exclusive brokerage agreement for the Brownstein portfolio. C&Wwill disclose we are Brownstein’s limited agent and seek a market-based commission agreement from each potential Landlord being considered. C&Wwill not solicit or accept any bonus, promotional or other additional compensation and will disclose any such offer to Brownstein immediately and determine, with Brownstein, the best application of the concession for Brownstein. Additionally, C&W is providing for a portion of the brokerage fees collected by C&W to be “rebated” back to Brownstein directly or to use those funds for any additional services that Brownstein decides to engage. Please see the E.3. Scope of Services for a more detailed description of services that are provided within the market brokerage fee and which services would be contracted for and paid for with separate fees.
