9. How would our firm rank among your team’s client base? The Core Team views NMRS business as a high-profile opportunity and believes NMRS will be a top three (3) client for the team. That said, the intent is to provide NMRS’ real estate portfolio with the amount of attention needed to drive efficiencies through process. NMRS will not only benefit from having most of the Core Team members based out of Charlotte, who will provide the utmost attention to NMRS’ portfolio needs, but the Firm will also see extreme value in Sherry Cushman’s law firm expertise in serving national and global portfolio accounts. In addition, our Market Champions, all LSAG members and legal sector experts, will round out our proficiency with their local market knowledge to ensure NMRS is receiving the best support and market knowledge in each of the Firm’s office locations and future potential growth locations. As leaders in the legal sector, C&W has represented some of the top law firms in the world. As previously mentioned, in the last five (5) years, members of C&W’s LSAG have provided strategic real estate advisory and tenant representation services to over 60% of the Am Law 100 firms on a one-off, preferred vendor, or on a national/global account basis. In addition, members of the Core Team actively represent the national and global portfolio accounts of ten AM Law 100 and 200 ranked firms. Please see question 1 in the “Other” section for the full list of the Core Team’s national and global portfolio clients. Given the Core Team’s experience and by bringing together real estate advisors that understand the unique characteristics of the legal sector, C&W is able to provide NMRS with creative, forward-thinking strategies to achieve the most flexible, operationally efficient, and cost-effective real estate solutions to the Firm’s nationwide portfolio.

10. How would you charge for transaction related services? The brokerage fees/commissions that C&W shall earn (which is paid directly by the Landlords of concluded transactions) in connection with all real estate transactions during the term of our engagement with NMRS shall incorporate the cost of start-up services provided to the Firm for the initial portfolio set-up, Lease Management and Administration Technology, Real Estate Portfolio Strategy Development (including all Vision Sessions and Workplace Strategy), Annual Portfolio Review and Opportunity Identification, and Financial Consulting and Portfolio Analytics. The value to NMRS for the C&W Start-Up Services is $192,500. As a courtesy and further investment in the important relationship between our two firms, C&W will waive the entire fee for these services, as outlined below, to NMRS. This assumes C&W will earn a minimum of $500,000 in gross commissions in year one (1) of the contract term and a minimum of $1,500,000 in gross commissions over the three (3) to five (5) year contract term. If the minimum gross commission thresholds are not achieved, such Start-Up Services costs shall be paid by NMRS to C&W as outlined below. LEASE MANAGEMENT AND ADMINISTRATION TECHNOLOGY START UP FEE: $35,000 (WAIVED) 3-YEAR MAINTENANCE FEE: $45,000 (WAIVED) C&W will provide full service technology lease management and administration services for NMRS’ portfolio as described above. In addition, C&W will work closely with the Core Team and the Lease Administration team to setup the CoStar REM database. C&W will provide lease abstraction for each of NMRS’ current national and global locations. Also included within this fee is the set-up charge for the CoStar REM technology services and licensing.
