However, in no event shall C&W receive less than 50% of the gross fee earned on such co-broker transaction for the services that C&W will provide as outlined above. 5. If we were to deal directly with a landlord, how would you support and how would you charge for this service? We do not recommend that NMRS deal with any potential or current landlords directly and certainly not without our consultation. C&W has extensive experience in negotiating on behalf of our law firm clients in all scenarios and situations. C&W, and the Core Team in particular, are known for creating leverage where leverage seemingly doesn’t exist and coming up with creative real estate solutions that ultimately put our clients in the best position to strike on ideal opportunities that puts them in the most competitive position moving forward. C&W will run a complete diagnostic on each location and also compare all competing proposals to any of NMRS’ remaining lease obligations to ensure the Firm has a clear and informed understanding of all options and financial implications. NMRS will be equipped with the necessary knowledge to make the best real estate decision for its future and portfolio as a whole. As further outlined in question 10 in this section, all commissions earned by C&W are paid for by the Landlord, not NMRS, therefore there is no cost to the Firm by retaining C&W to handle all dealings with landlords. Notwithstanding the above, in the event NMRS desires to represent itself on a transaction, C&W will support the Firm with market and landlord intelligence and assist to the degree it is able without being fully engaged. The fee for such advisory services shall be determined based upon the scope of work, size of transaction and overall services provided to NMRS on a case by case basis.

We will develop transaction management playbooks jointly with NMRS including defined processes and best practices. This will ensure that every project is executed consistently across the NMRS portfolio, from standardized processes, RFP’s, analytics, design standards, budgets, and the overall visioning and consensus-building needed to succeed in implementing the firm-wide strategy. All accountability and communication will be led by John Christenbury and supported by Zach McLaren and Keith Bell on all transactions and internal services provided. The Core Team will never hand off projects, running all transactions from beginning to end and working with best-in-class local resources. Our commitment to our clients for identifying the best local resources is outlined previously in question 2, in the “General” section. A consistent approach, the application of a structured process, and a standard reporting structure mitigates risk and increases transparency; all of our projects are reported in the same way. In order to optimize management of the team, John, Sherry, Zach, and Keith will hold weekly meetings with the entire Team to review ongoing transactions, highlighting issues, strategic initiatives, and all critical dates. Constant communication ensures that there are no gaps in managing assignments, thus providing an integrated service with superior delivery. As previously discussed in question 5a. under the “General” section, C&W’s lease administration system will always keep NMRS apprised of all upcoming deadlines for each of the Firm’s locations. Our system sends out reminders for all upcoming options for each location including lease expirations, right of first refusals, expansion, early termination, etc. to ensure firms are staying out way ahead of important deadlines.
